Terms and Conditions of Online Restaurant Reservation Service

Set forth below are the terms and conditions of service (“Terms and Conditions”) governing your use of the online restaurant reservation website at www.tablemap.com powered by Openrice Group Inc, and/or its subsidiary(ies) and/or affiliate(s) (“TableMap”) and your utilization of the services available thereat. By using TableMap and/or the services thereat, whether as a registered Member as defined hereinbelow or as non-registered user, you acknowledge and agree that the Terms and Conditions as well as the “Privacy Policy” are binding upon you. Access to and use of the contents of the services provided on TableMap shall be subject to the Terms and Conditions and the “Privacy Policy” .

All references in the Terms and Conditions to “we” and “us” shall mean Openrice Group Inc. and/or its subsidiary(ies) and/or affiliate(s).

  • Membership
    • You may freely browse TableMap for information and use the tools which we make available thereat. However, certain contents and functions of TableMap, including without limitation the online restaurant reservation services and the Dining Points Scheme (as defined below), are only available to registered members of TableMap (“Members”).
    • You may become a member of TableMap by registering online at the section "Openrice Member Registration” . You warrant that the personal particulars which you provide when you register as a member of TableMap are true, accurate, complete and not misleading in all respects, and further undertake to promptly update us where there is any subsequent change in such particulars. Your failure to do so would entitle us to suspend and/or terminate your membership with TableMap without further notice and/or recourse to you.
    • You must not select a username or password that violates any person’s rights or one that in our opinion is offensive, improper or inappropriate. If you do so, we reserve the right to modify or delete the username or password and/or terminate your membership with TableMap. In any event we shall not be liable in any way for any improper use of a username or password by you.
    • You shall be solely and absolutely responsible for maintaining the confidentiality of the login information and password in respect of your membership account. In no event shall we be responsible or liable for any loss or damage in relation to the unauthorized use of your membership account by any other person.
    • Registration request made pursuant to Clause 1.2 may be refused by us at our sole and absolute discretion without giving any reason therefor, and you agree that we are under no obligation to send you any alert or notice regarding our rejection of your membership registration.
    • The information that you provide to us on the registration form will be dealt with in accordance with our “Privacy Policy” which we strongly recommend you to read prior to registration as the terms stated therein are binding upon you.
    • By registering with TableMap, you agree to receive emails and/or short message service (“SMS”) notifications relating to your account activities and Reservations (as defined below) made via TableMap and/or the Dining Points Scheme (as defined below), including without limitation the following:
      • account activation email;
      • SMS notification for the purpose of verifying your mobile phone number;
      • confirmation emails issued pursuant to Clause 2.8 or 2.9; and
      • confirmation emails in respect of redemption of gift items and/or dining vouchers.
  • Online Restaurant Reservation
    • Only Members are eligible to make online table reservation (“Reservation”) with restaurants which have subscribed to our services and accept online booking through TableMap (individually “Restaurant” and collectively “Restaurants”).
    • Subject to Clauses 2.1 and 2.6, you may make a Reservation by filling in the electronic form available on TableMap online. You shall ensure the accuracy of all information provided in connection with your Reservation, including without limitation the intended dining date and time, number of diners and your contact details.
    • Under no circumstances shall we entertain a Reservation request for a dining time which is less than 15 minutes away from the time at which such request is made.
    • By making a Reservation through TableMap, you acknowledge and agree that the information (including but not limited to your name, telephone number and special request(s) (if any)) which you provide in your Reservation request and is necessary for the processing of your Reservation will be passed onto the relevant Restaurant. For the sake of protection of your privacy, we generally do not allow Restaurants to access information pertaining to you and/or your dining history from other Restaurants, with the exception that Restaurants under the same corporate ownership may elect to share such information among their group members. In no event shall we be responsible or liable to you for any subsequent use of such information by the Restaurants which has been properly passed onto them hereunder.
    • You shall not submit multiple requests for a single table booking. In the event of such multiple requests being made, we may at our sole and absolute discretion (i) treat them as a single Reservation request or (ii) reject / cancel all such Reservation requests made by you without any compensation or recourse to you. We may take into account the membership account(s) through which such requests were submitted, the name / telephone number entered in connection with such requests, your Internet protocol (IP) address and such other distinctive aspects of such requests, whether independently or collectively, in tracing and/or identifying the requests submitted by you for the purpose of this Clause 2.5. In the event of any dispute under this Clause 2.5, our determination shall be final and conclusive.
    • You may only make a maximum of two Reservations for the same date. The aforesaid limits are subject to our adjustment from time to time without prior notice.
    • Subject to Clauses 2.1 and 2.6, you may make a Reservation for a third party for non-commercial purpose only. For the avoidance of doubt, resale or attempted resale of Reservations is expressly prohibited. Where you provide us with information relating to any third party, you shall be responsible for obtaining such third party’s prior consent to the disclosure of the same to us, and you warrant that such third party has agreed to the collection and the use of the said information in accordance with the Terms and Conditions and the “Privacy Policy” .
    • Upon acceptance of your Reservation by the relevant Restaurant, you will receive from us a confirmation email at your designated email account setting out the particulars of the Reservation (“Reservation Confirmation”). For the avoidance of doubt, the Reservation Confirmation will serve as the Restaurant’s acceptance of your booking of table but may not necessarily indicate its promise to satisfy your special request made under the Reservation, if any.
    • You may vary or cancel your Reservation at least 60 minutes before the designated dining time as appearing in the Reservation Confirmation or Revised Reservation Confirmation (as defined below), as the case may be. If your variation or cancellation of the Reservation is accepted by the relevant Restaurant, you will receive from us a revised Reservation confirmation (“Revised Reservation Confirmation”) or confirmation of cancellation of Reservation (“Cancellation Confirmation”) (as the case may be) in the form of email at your designated email account.
    • We make no guarantee that any of your requests in respect of a Reservation (including the special request made thereunder, if any) or variation or cancellation thereof made in accordance herewith will be timely processed or accepted by the relevant Restaurant. We do not accept any liability whatsoever and howsoever arising from or in connection with any delay in the processing or non-acceptance of your request on the part of the relevant Restaurant.
    • We reserve the right to cancel any Reservation made by you, in which event, we shall notify you of it by email. We shall not be liable for any consequences of such cancellation howsoever arisen.
    • You shall honour the Reservation by patronizing the relevant Restaurant at the time specified in the Reservation Confirmation or Revised Reservation Confirmation (as the case may be), unless you have cancelled your Reservation in accordance with Clause 2.9. Where possible, we may send you an email reminder one day prior to your designated dining date.
    • Within 7 days after the dining date specified in the Reservation Confirmation or Revised Reservation Confirmation (as the case may be), we will, by way of email, send you an attendance report (prepared based on the data obtained from the relevant Restaurant) in respect of the relevant Reservation, in which your attendance or no-show will be recorded. Such report shall serve as conclusive evidence of your attendance or no-show.
    • Without prejudice to Clause 6.5, in the event that there has been accumulated 4 or more no-show records in your membership account at TableMap for the last 6-month period, we shall have the absolute right to terminate or suspend your membership account, temporarily or permanently, without any compensation or recourse to you.
  • The Dining Points Scheme
    • You may earn certain number of dining points (calculated according to the scale as we may adopt from time to time) for each Reservation made at TableMap and subsequently honoured (as per the record provided to us by the relevant Restaurant) (“Dining Points Scheme”). The dining points can be used to redeem gift items and/or dining vouchers in such manner as we may advise from time to time. Please refer to the prevailing Dining Points Scheme, which may be varied by us from time to time at our sole and absolute discretion.
    • Dining points will be credited to your membership account within 1 to 4 days after you have honoured your Reservation. For the avoidance of doubt, no dining point shall be awarded for cancelled Reservation or no-show.
    • Any dining points which are obtained by improper means (including without limitation breach of the Terms and Conditions) shall be forfeited at our sole and absolute discretion without any compensation or recourse or notice to you.
    • Your dining points shall be valid for a term running from the date on which they are credited to your membership account until the end of the next Dining Points Year (as defined below) (both dates inclusive). By the end of such term, any unredeemed dining points shall expire and be forfeited automatically. For the avoidance of doubt, any expired dining points cannot be used to redeem gift items and/or dining vouchers.
    • If you register as a Member of TableMap during the period from 1 January to 30 June (both days inclusive), a “Dining Points Year” shall refer to a period commencing on 1 January and ending on 31 December of that particular calendar year; if the date of your registration as a Member falls within the period from 1 July to 31 December (both days inclusive), a “Dining Points Year” shall commence on 1 July of that particular calendar year and end on 30 June of the immediately following calendar year.
    • All dining points are neither transferrable nor exchangeable for cash. Dining points in different membership accounts cannot be combined for redemption of gift items and/or dining vouchers.
    • All gift items and/or dining vouchers available for redemption are supplied by third parties. We disclaim any warranty, obligation, risk or liability with regard to the gift items and/or dining vouchers and the use of the same, including without limitation warranty as to merchantability and fitness of such gift items.
    • Redemption of gift items and/or dining vouchers is on a first-come-first-served basis, subject to the availability of the stocks. We make no representation or warranty that any of such gift items and/or dining vouchers will be available for your redemption at all times.
    • We reserve the absolute right to reject any redemption request without specifying any reason in respect therefor.
    • Once your redemption request is confirmed, it cannot be changed nor cancelled without our written consent.
    • No redeemed gift items or dining vouchers shall be returned or exchanged for cash or other gift items or dining vouchers.
    • You acknowledge that your entitlement to the dining points is at our sole and absolute discretion. We reserve the right to terminate and/or suspend the Dining Points Scheme and/or change the terms applicable to the same herein, in whole or in part, at any time with or without notice.
  • Privacy Policy
    • We respect your privacy and are committed to protecting your personal information. Please refer to our “Privacy Policy” for details.
  • Intellectual Property Rights
    • You acknowledge and agree that all materials on TableMap are owned by us, the Restaurants, our licensors or other third parties (as the case may be) which are protected by copyright laws and/or other intellectual property laws. No materials on TableMap (or any part thereof) shall be downloaded, copied, modified, reproduced, printed, posted, transmitted or distributed in any way except that you may download and/or print a copy of such materials for your own legal and non-commercial use only. Use of such materials for any other purposes is strictly prohibited. You acknowledge that you will be solely responsible for any adverse consequences arising from any breach of copyright laws and/or other intellectual property laws.
    • You agree that we are free to use, disclose, adopt and modify all and any ideas, concepts, proposals, suggestions, comments and other communications and information provided by you to us in connection with TableMap without any remuneration or compensation to you. You hereby waive all and any rights and claims for any consideration, fees, royalties, charges and/or other payments in relation to our use, disclosure, adoption and/or modification of such ideas, concepts, proposals, suggestions, comments and/or other communications and information.
    • As a condition for your use of TableMap, you agree that you shall not use TableMap for any purpose or in any manner that is unlawful or prohibited by any applicable laws or regulations or the Terms and Conditions contained herein or otherwise improper or inappropriate.
  • Your Rights and Obligations
    • TableMap may be used by you only for lawful, bona fide and personal non-commercial purposes and in a lawful manner. You agree to comply with all applicable laws and regulations regarding TableMap and the Terms and Conditions contained herein.
    • You unconditionally and irrevocably undertake and covenant with us not to:
      • access or use the membership account of any other Member without his/her permission;
      • directly or indirectly allow others to use your username or password to access or use TableMap;
      • save, store, collect, duplicate, process, use, distribute, publish, disclose or transmit in any way any information or data about or of other Members or any other persons save and except for the purposes as permitted hereunder;
      • interfere with, disrupt or violate, or attempt to interfere with, disrupt or violate TableMap, its security and/or its servers or networks including but not limited to by way of the use of viruses, trojan horses, worms, or any other harmful or deleterious programs;
      • use TableMap in any manner that will infringe the copyright, trademark, trade secrets or other intellectual property rights of ours or others or violate the privacy or publicity or other personal rights of others;
      • use TableMap in any manner that is discriminatory, harassing, libelous, obscene, threatening, abusive,hateful or is otherwise offensive or objectionable;
      • distribute, post or transmit any material in violation of any applicable law or regulation by using the tools that we make available at TableMap; or
      • use TableMap or any facilities thereat for commercial purposes of any kind.
    • You unconditionally and irrevocably agree to indemnify and hold harmless us, our officers, agents, employees, business partners, representatives, shareholders, attorneys, predecessors, successors, assigns, contractors and affiliated companies (including without limitation holding company, subsidiaries and group members) from and against all claims, liabilities, actions, demands, losses,damage, costs and expenses (including without limitation legal fees and litigation expenses on a full indemnity basis) arising from and/or in connection with your use of TableMap and your breach of the Terms and Conditions.
    • You shall comply with all applicable laws, statutes, ordinances and regulations (whether or not having the force of law) regarding your use of TableMap. You recognize the global nature of the Internet and you understand that the applicable laws, statutes, ordinances and/or regulations may be of a jurisdiction other than your own and you agree that compliance with the same is your sole and absolute responsibility.
    • In the event that you have breached or violated (or we suspect that you have breached or violated or attempt to breach or violate) any provision of the Terms and Conditions or the applicable laws or regulations, or you have, in our opinion, abused our services offered at TableMap, we shall have the absolute right to expel you from and prevent your further access to TableMap (by way of, including but not limited to, terminating your membership account and blocking your Internet Protocol (IP) address), and remove any and all contents and materials posted by you on TableMap, without further notice and compensation of any kind to you.
    • You agree and consent that we and/or our affiliates may, subject to the terms of the “Privacy Policy” , use your personal data and/or other information provided to us for purposes relating to our provision of services and/or marketing services and/or our special events and/or those of our affiliates.
  • Disclaimer and Limitation of Liability
    • We accept no responsibility or liability whatsoever arising from and/or in connection with the Restaurants’ failure to properly and timely fulfill or otherwise act in connection with your Reservation(s).
    • We shall not be liable for any loss or damage directly or indirectly arising from and/or in connection with your patronage at the Restaurants.
    • We shall not be liable for any default of obligations or duties directly or indirectly caused by or resulted from any causes beyond our reasonable control, including but not limited to Internet system failure or default.
    • We give no warranty as to the accuracy of the information contained on or given in relation to TableMap and accept no liability arising from any inaccuracy of such information. Any typographical error, clerical or other error or omission on TableMap or other relevant information or document provided by us, including without limitation the Reservation Confirmation, Revised Reservation Confirmation and Cancellation Confirmation, shall be subject to our correction at any time without any liability on our part and we are not obliged to give you any notice in relation thereto.
    • Where TableMap provides links to third party websites, these are provided solely as a convenience to you, and they are not affiliated to us. Such websites shall not in any way be regarded as an endorsement of any kind by us approving the contents thereon. If you access any linked third party websites, you do so entirely at your own risk. We neither take any responsibility for nor make any representations, warranties or undertakings (whether express or implied) as to their availability and the contents contained therein. Any questions or comments relating to such third party websites shall be addressed to the operators or owners of those websites.
    • Whilst we take reasonable precaution to ensure that TableMap is free from computer viruses or other harmful elements, we expressly disclaim any liability for any loss or damage caused as a result of such computer viruses or other harmful elements.
    • You shall exercise and rely solely on your own judgment when using TableMap. In no event shall we be liable to you or any other person for any direct, indirect, incidental, special, punitive or consequential damages, including but not limited to any loss of business or profit, arising out of any use of or inability to use TableMap (including without limitation unauthorized access using your username and password or transmission of content or any transactions entered into through TableMap), even if we have been advised of the possibility of such damages.
    • We do not guarantee uninterrupted, continuous and/or secure access to TableMap. Part of the entire TableMap may be unexpectedly unavailable for whatever duration and for whatsoever reasons that may include but not limited to system malfunctions and disruptions, Internet access downtime and other technical problems beyond our control for which we cannot and shall not be held responsible. You agree that your use of TableMap is at your own risk and that you will not hold us responsible for any damage or loss caused by your inability to use TableMap for any reason whatsoever. We reserve the right to take any part or the whole of TableMap offline with or without notice for reasons including but not limited to system maintenance or upgrading.
    • Although we will use our reasonable endeavours to restrict access to the database of the Members’ personal data only to our personnel and/or our affiliates, we do not guarantee that other parties will not, without our and/or our affiliates’ consent, gain access to such database. For our policies regarding the usage and protection of personal data provided by any user of TableMap, please refer to the “Privacy Policy” .
    • Without prejudice to this Clause 7, our aggregate liability to you for all claims arising from your use of TableMap and the services available thereat shall be limited to the amount of HK$10.
  • General Terms
    • We shall not in any way be regarded as your agent in rendering our services hereunder.
    • You shall not assign or transfer any rights or obligations under the Terms and Conditions to any third person without our prior written consent thereto.
    • 7.3. No failure or delay by us in exercising any right, power or remedy under the Terms and Conditions shall operate as a waiver thereof, nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of other right, power or remedy. Without limiting the foregoing, no waiver by us of any of your breach of any provision of the Terms and Conditions shall be deemed to be a waiver of any subsequent breach of that or any other provision of the same.
    • We reserve the right to modify, suspend or withdraw, temporarily or permanently, TableMap (or any part thereof) with or without notice to you. In any event, we shall not be liable to you for any modification to or suspension or withdrawal of TableMap. We may terminate and/or suspend your use of and access to TableMap (or any part thereof) or any related service(s) at any time with immediate effect without any notice and in our sole and absolute discretion for any reason, including without limitation the following:-
      • If you are unable to verify or authenticate any information you previously provided to us;
      • If we believe that your action may give rise to liability of any nature; or
      • If we deem your action unsuitable or inappropriate.
    • The Terms and Conditions and/or the “Privacy Policy” may be updated by us from time to time without prior notice to you. Your continued use of TableMap following such revision shall be deemed as your acceptance of the amended Terms and Conditions and/or the amended Privacy Policy (as the case may be). It is your responsibility to visit TableMap regularly to check out the latest Terms and Conditions and “Privacy Policy” . Continued use of TableMap after any such updates amounts to your conclusive and absolute acceptance of such revised Terms and Conditions and/or Privacy Policy (as the case may be). If any such revision is unacceptable to you, you should terminate use of TableMap immediately. We reserve the right to interpret these Terms and Conditions and the “Privacy Policy” and to adjudicate on any questions or disputes arising under these Terms and Conditions and/or the “Privacy Policy” . You further agree that all such interpretations and decisions shall be final and conclusive and binding on you as a user or Member of TableMap.
    • Each provision of the Terms and Conditions shall be enforceable independently of each of the others and its validity shall not be affected if any of the others is invalid. In the event any provision of the Terms and Conditions is determined to be illegal, invalid, or unenforceable, the validity and enforceability of the remaining provisions of the Terms and Conditions shall not be affected and, in lieu of such illegal, invalid, or unenforceable provision, there shall be added as part of the Terms and Conditions one or more provisions as similar in terms as may be legal, valid and enforceable under the applicable law.
    • In the event of any dispute with respect to the online table reservation service hereunder or the Dining Points Scheme, our decision shall be final and conclusive.
  • Conflict
    • If there is any conflict between (1) the Terms and Conditions and (2) conditions of any service agreement(s) entered into between the Company and the User(s), and/or any specific terms and conditions of use in respect of any special events hosted by the Company, then the latter shall prevail.
  • Governing Law and Dispute Resolutions
    • The Terms and Conditions and any dispute or matter arising from or incidental to the use of the Channels shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (hereinafter referred to as "Hong Kong"), unless otherwise specified.
    • Any dispute, controversy or claim arising out of or relating to the Terms and Conditions including the validity, invalidity, breach or termination thereof, shall be settled by arbitration in accordance with the UNCITRAL Arbitration Rules as at present in force and as may be amended by the rest of this Clause:
      • The appointing authority shall be Hong Kong International Arbitration Centre (hereinafter referred to as "HKIAC"); or alternatively, an appointing authority may be appointed by the Company at its sole and absolute discretion in any country which the Company considers as fit and appropriate. Any User(s) who are in dispute with the Company acknowledge(s) and agree(s) that the choice of appointing authority nominated by the Company shall be final and conclusive.
      • The place of arbitration shall be in Hong Kong at HKIAC; or alternatively, at any such arbitral body in any country as the Company considers fit and appropriate at its sole and absolute discretion. Any User(s) who are in dispute with the Company acknowledge(s) and agree(s) that the choice of the arbitral body and the place of arbitration nominated by the Company shall be final and conclusive.
      • There shall be only one arbitrator.
      • The language to be used in the arbitral proceedings shall be English.
  • In the event of any breach of the Terms and Conditions by any one party, the other party shall be entitled to remedies in law and equity as determined by arbitration.
